- Loss of goodwill or reputation
- Cost of substitute services
- Failure to achieve expected career or financial outcomes
This limitation applies regardless of the legal theory on which the claim is based, whether contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.
5.2 Cap on Liability
Our aggregate liability for all claims arising out of or related to these terms or our services shall not exceed the total amount you paid to Quaterna for the specific course or service giving rise to the claim during the twelve months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.
6. Force Majeure
Quaterna shall not be liable for any failure to perform or delay in performance of our obligations under these terms when such failure or delay is due to circumstances beyond our reasonable control, including but not limited to:
- Natural disasters, earthquakes, floods, or severe weather conditions
- Acts of war, terrorism, civil unrest, or government actions
- Pandemics, epidemics, or public health emergencies
- Power outages, telecommunications failures, or internet service disruptions
- Labor disputes, strikes, or lockouts not involving our employees
- Failures of third-party service providers
During force majeure events, we will make reasonable efforts to minimize disruption and will resume performance as soon as reasonably possible.
7. Governing Law and Dispute Resolution

We may assign or transfer our rights and obligations under these terms, including in connection with a merger, acquisition, sale of assets, or by operation of law, without restriction and without notice to you.
10. Entire Agreement and Modifications

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any course-specific terms, constitute the entire agreement between you and Quaterna regarding your use of our services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.
